Introduction

This document complies with the disclosure requirements under the Securities Markets Act 1988 and sets out the disclosure required to be made in relation to your financial adviser.

Details of the firm

Aquila Financial Advisers Ltd commenced in July 2005, as NZIJ Financial Servicces Ltd and changed its name to Aquila Financial Advisers on 24 June 2008. It is a wholly owned subsidiary of NZIJ Stockbrokers Ltd.

Experience and qualifications

Fritz has over 38 years experience in the financial services industry, with the past 18 years specifically focused in the financial and investment planning area. Fritz holds the designation of Certified Financial Planner (CFP) and is a member of the Institute of Financial Advisers (IFA). As a member of the Institute of Financial Advisers (IFA) Fritz complies with the IFA Code of Ethics in all facets of his practice. The following are details, which are deemed to be relevant about Fritz de Boer’s role as an Investment Adviser.

Qualifications/Experience


Fritz de Boer has been providing investment advice in various forms since 1989. He became a full time investment adviser in 1990 and set up his own company in 2000.

Fritz de Boer earned Certified Financial Planner status in 1992 and has kept his financial planning qualifications up to date by:

  1. meeting the mandatory number of continuing professional development hours as per the Institute’s continuing professional development guidelines.
  1. attending annual industry conferences
  1. regularly travelling overseas and attending other financial planning conferences
  1. reading widely
  1. purchasing comprehensive investment research from a number of sources.

Professional memberships

Fritz de Boer is a member of the Institute of Financial Advisers (the Institute) and complies with the Institute of Financial Advisers Code of Ethics and Practice Standards in all facets of his practice. Fritz de Boer holds an annual certificate to practice issued by the Institute.

Professional Indemnity Insurance cover

In compliance with the Institute of Financial Advisers Code of Ethics and it's By-Laws, I carry professional indemnity and public liability insurance covering my activities as a financial planner and investment adviser. As with all insurance, this cover has limitations and is subject to certain exclusions and terms and conditions.

Dispute resolution facilities

Any potential complaints are best directed to Fritz de Boer at Aquila Financial Advisers Limited in the first instance. If a satisfactory resolution cannot be found, the Institute has a complaints resolution procedure for your protection. Aquila Financial Advisers Limited may place investments with almost any investment provider. When it comes to risk management products, superannuation funds and insurance bonds, Aquila Financial Advisers Limited needs to have a detailed agency agreement in order to place business. Aquila Financial Advisers Limited has agency agreements for the sale of these products with the following suppliers:


Other investment products will have the normal supplier intermediary relationship that does not entail a detailed agency agreement to be signed. Appendix A to this document lists those companies.

Procedures for handling investment money or investment property

The following system and procedure is used for receiving client funds:

The records Aquila Financial Advisers Ltd keeps that relate to the investment of money are:

  1. A photocopy of the completed cheque and application form which is kept in the client’s personal file.
  2. The details of the investment are entered on to our portfolio reporting system immediately after an investment is made.
  3. We manually update the client’s personal file with details of the investment.
  4. During normal working hours, all clients have access to their personal file should they wish to check the accuracy of the information contained therein.

Remuneration received by Aquila Financial Advisers Limited.

The professional fees charged by Aquila Financial Advisers Limited will vary according to the nature of the services provided, as outlined below.

The proposed basis of our charges and details of specific charges will be provided to you at the time of entering into an agreement and after we are more fully aware of the nature and scope of the engagement.

All fees will be deducted from the client’s Cash Transaction Account monthly.

Fee rebates

In many instances, commissions and trails paid by the product provider for the funds invested by the client will be credited to the client’s Cash Transaction Account. This will be determined once NZIJ Financial Services Limited is more aware of the nature and scope of the engagement.

These fees provide the following benefits:


Aquila Financial Advisers Limited is eligible to receive commissions, bonuses, rebates and non monetary payments from product providers in relation to the sale of products and the use of Wrap services. Details on these payments are provided in Appendix A and B. Please note that Aquila Financial Advisers Limited will often provide discounts on the commission it receives, particularly if the sum being invested is substantial. The discount reflects the sum of money being invested and the fact that this sum obviously brings economies of scale in NZIJ Financial Services Limited’s time, effort and procedures.

No Criminal Convictions

In accordance with the Securities Markets Act 1988, I hereby certify that in the preceding five years neither I nor any principal officer of NZIJ Financial Services Limited, have been:

  1. Convicted of an offence under the Securities Act 1978, the Securities Markets Act 1988 or the Investment Advisers (Disclosure) Act 1996, or of a crime involving dishonesty (as defined in Section 2(1) of the Crimes Act 1961)
  2. A director or principal officer of a company that committed an offence under any of the Acts listed above or an offence involving dishonesty as defined above
  3. Adjudicated bankrupt
  4. Prohibited by law from taking part in the management of a company or a business
  5. The subject of an adverse finding by a court in any proceeding taken against me in my capacity as an investment adviser, or
  6. Expelled from or have been prohibited from being a member of a professional body

2. I also certify that Aquila Financial Advisers Limited has not been placed in statutory management or receivership in the preceding five years.

Interests

The Securities Markets Act 1988 requires advisers to disclose any direct or indirect pecuniary or other interest that they may have in the giving of investment advice. In the case of Fritz de Boer these are contained in Appendix C.

Declaration

We declare that this document when completed and signed complies with all the requirements of the Securities Markets Act 1988 and incorporates the minimum standards of disclosure, in terms of the Code of Ethics and Practice Standards required by the Institute.

Fritz de Boer via Aquila Financial Advisers Ltd is eligible to receive commissions on the following products according to the schedule below. Please note that these are the maximum commissions payable and in many cases these may be discounted, especially if a client is investing substantial sums. Specific commission rates will be disclosed in writing to the client in relation to specific investments prior to investments being placed.
